TERMS AND CONDITIONS

Presentation / GENERAL TERMS AND CONDITIONS OF SALE
 

1. VENDOR IDENTITY.

WOODMAP LTD, whose headquarters are located at 591 rue Bréard, Bagatelle Precinct, Moka Smart City, Mauritius, is registered under the number 087495 (VAT No.20500395).

 

2. APPLICATION OF CONDITIONS.

These General Terms and Conditions of Sale and prices are expressly agreed and accepted by the Client, who declares and recognizes as to having perfect knowledge of them, and renounces the priority of all contradictory documents, particularly his/her own general terms and conditions of purchase, the purchase constituting acceptance of the general terms and conditions of sale. You accept that the information requested in order to conclude the contract or sent over the course of its execution will be done electronically. The General Terms and Conditions of Sale can be amended at any moment and without notice by WOODMAP LTD, amendments then becoming applicable to any subsequent orders. The applicable General Terms and Conditions of Sale are those in effect on the day of the order, they are to be sent by email along with the invoice.

 

3. ORDERS.

The essential characteristics of products are detailed in product descriptions. WOODMAP LTD may update or improve descriptions as well as withdraw products from sale. Where products which are out of stock are concerned or for orders which are to be personalised, a delivery date will be provided within two working days. It is your responsibility to seek any relevant information from the local authorities in your country, with regards to possible import limits on products which you are considering ordering.

 

4. STAGES OF CONTRACT CONCLUSION.

On placing his/her first online order, any new client is required to create a “Client Account”; a username (“login”) and password will be requested. On confirmation of your order, you will be redirected to your account via a secure connection and provided with an order summary. Your order can be altered at any point prior to final confirmation. It will not be definitively placed until certain information has been entered and the final confirmation made. Any order placed on our site will be automatically cancelled in the event of the non-receipt of payment. WOODMAP LTD stores order forms and invoices on its servers (a copy can be provided on request against payment of any reproduction costs). The contract is validly concluded following your “double click” (it is possible to check the details of your order and the total price, as well as to correct any possible errors, before confirming and accepting it). The taking into account of your order is confirmed by an email automatically generated by our website and sent to the email address entered during the client account creation process.

 

5. PRICE.

The prices featured on the website are shown in euros, and are not inclusive of delivery fees. Delivery fees are calculated automatically, according to each order; they are displayed in your order summary prior to final confirmation. Where this is not the case, you will be sent a personalised quote. Any order delivered outside Mauritius could be subject to relevant local taxes, customs duties, dues and fees for customs clearance on delivery. You will bear any such payment which remains your responsibility. Relevant information should be sought from the local authorities in the country of delivery.

 

6. PAYMENT.

Any payment made would not be considered as being a deposit. The accepted means of payment are specifically detailed on the “Means of payment” page of the website. You can never, on the grounds of a claim, withhold the entirety or part of sums owed, nor apply offset compensation. In the event of a late payment of either some or the entirety of the amount due by the deadline, WOODMAP LTD subsequently may, and without the need for any notification, immediately cancel delivery, without your right to claim any damages. As part of its fight against fraud, WOODMAP LTD may request proof of identity, address and the means of payment used. In this instance, your order will be processed once these documents have been received. Where these supporting documents are not received or are not deemed compliant, the order will be cancelled and the account blocked.

 

7. DELIVERY TIME FRAMES.

Unless otherwise indicated, WOODMAP LTD delivers goods without any justified delay and no later than thirty days after the date of your order confirmation. Delivery is provided to the address submitted when placing the order. Delivery is understood to mean the transfer of physical possession or control of goods to the consumer. WOODMAP LTD cannot be held responsible for any delivery delay exclusively due to the non-availability of the client following several proposed delivery times on the part of the courier.

8. TRANSPORT.

Any risk of loss or damage to goods is transferred to you at the moment you yourself, or a third party other than the courier proposed by WOODMAP LTD and appointed by you, takes physical possession of these goods. We recommend refusing delivery where a package has been damaged, opened or repackaged and where any specific reservations and circumstances have not been detailed on the delivery note. We encourage you to immediately check the contents of the package and to contact WOODMAP LTD immediately should any product be damaged or missing with respect to the packing list. We recommend that any complaints or reservations be followed up in writing and by registered mail with the courier within a period of three days as of delivery, in order to ensure your right of legal recourse against said party.

10. RESERVATION OF OWNERSHIP.

Merchandise delivered to you and for which you are invoiced will remain the property of WOODMAP LTD until paid for in full. Failure to provide full payment of the sum could result in merchandise being recalled by WOODMAP LTD, with immediate effect, at your own risk and with any delivery fees remaining your responsibility. During the period running from delivery to the transfer of property, you remain responsible for the risks of loss, theft or destruction, as well as any damage which you may cause.

 

11. DATA PROTECTION.

WOODMAP LTD collects information about you as part of the Client Account creation process. This information enables us, in particular, to carry out operations concerning client management, prospection, sales statistics development, right of access, correction and opposition request management, non-payment and dispute management, management of promotional activities and notifications. This data may be used to issue information and promotional offers on the part of WOODMAP LTD, you are able to unsubscribe from any such list at any point in time by writing to contact@thewoodenmaps.com.

 

12. FINAL PROVISIONS.

WOODMAP LTD stores order forms and invoices on a reliable and permanent medium, which will be a trustworthy copy. The parties will consider the computer records of WOODMAP LTD to be proof of communication, orders, payments and transactions between the parties, save proof to the contrary. If any provision or part-provision of these General Terms and Conditions of Sale is or become invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part provision under this article shall not affect the validity and enforceability of the rest of these General Terms and Conditions of Sale.

 

13. APPLICABLE LAW AND LANGUAGE.

This contract and the governing General Terms and Conditions of Sale are subject to Mauritian law. It is drafted in French. Where it is translated into one or several languages, solely the French text would prevail in the event of any dispute.

 

14. MEDIATION.

In the event of a legal dispute and prior to resorting to court proceedings, the Client is entitled to employ the mediation of an individual chosen in agreement with the Vendor, with a view to reaching an amicable solution.

 

15. APPLICABLE LAW IN THE EVENT OF DISPUTE.

Solely the Courts of Mauritius will have the authority to resolve any disagreement or dispute regarding this contract and the General Terms and Conditions of Sale, or resulting from its interpretation or application.
